Non-Disclosure Agreement (NDA) FAQ

Background

Procore supports the use of Non-Disclosure Agreements (NDAs) to help project owners protect proprietary information included in bid packages. For bid packages requiring an NDA, subcontractors must sign the agreement before viewing the package contents.

For Solicitors (Project Managers/GCs)

What happens when I send a bid invitation that requires an NDA?

When you invite a company to an NDA-protected bid package:

  1. The bidder will first receive an email notifying them that they must sign the NDA before accessing project details.
  2. Once the bidder signs the NDA, the system automatically sends the official Invitation to Bid email with all the project details for the bid forms that company was invited to.

How can I track a company's NDA status?

You can track NDA activity directly within the Bidding tool using the Non-Disclosure Agreement Activity column:

  • This column displays the company's most recent NDA activity:
    • Viewed
    • Downloaded
    • Signed
    • Declined
    • If no activity has occurred, it shows "—"
  • Clicking on any cell in this column opens a dedicated activity pane showing a full history of the company's NDA actions.

Can I filter or hide the NDA Activity column?

  • Filter: Yes, you can filter your list of invited bidders based on their NDA activity status (No Activity, Viewed, Downloaded, Signed, or Declined).
  • Hide: Yes, the column is visible by default if an NDA is enabled, but you can hide it using the Configure pane.

Can I communicate with bidders based on their NDA status?

Yes, you can send correspondence to invited bidders based on their current NDA Status (Signed or Not Signed).

For Bidders (Subcontractors)

Does every person in my company have to sign the NDA?

No. Only one bid recipient from the invited company is required to sign the NDA. Once one person signs, everyone else from that company will immediately be able to access the bid package details.

If I'm invited to multiple bid forms in one package, how many times do I have to sign the NDA?

You only have to sign the NDA once per bid package, regardless of how many individual bid forms within that package your company is invited to.

How do I sign the NDA?

The signature process is an electronic signature completed directly within the Procore platform. There is no requirement for a wet signature or integration with outside services like DocuSign. See Sign a Non-Disclosure Agreement for a Bid Package.
